The board of directors at Microsoft is preparing to tap Satya Nadella as CEO Steve Ballmer's successor and is holding discussions to replace Chairman Bill Gates, according to a report.

A candidate to replace Gates as chairman, John Thomson, the software giant's lead independent director, has emerged as well, according to Bloomberg News, citing people briefed on the process.

One of the most intriguing candidates to be the next head of Microsoft Corp. said he isn't taking the job.

Ford Motor Co. Chief Executive Alan Mulally said on Tuesday he won't leave the auto maker for Microsoft, which had considered him for the chief executive spot being vacated by Steve Ballmer. The Microsoft CEO said in August he planned to retire within 12 months, several years ahead of schedule.

Microsoft Corp. Chairman Bill Gates choked up at the software giant’s annual shareholder meeting Tuesday while giving an update to replace retiring Chief Executive Steve Ballmer.

Gates said he was “pleased with the progress” that Microsoft’s MSFT +0.93% board has made with interviewing and vetting candidates to replace Ballmer, who said in August that he would retire within a year. Gates didn’t give any other details about possible CEO candidates.

Rumored candidates include Ford’s F +0.12% Alan Mulally and Stephen Elop, who will return to the software company when the Nokia handset deal closes.

But toward the end of his opening remarks, Gates choked up in recounting his feelings about Microsoft and thanking Ballmer for his long-time role with the company

“[Microsoft] has only had two CEOs in its 38-year history,” Gates said. “It’s been a real privilege to lead the company.”

It was one of Gates rare public appearances in his role as Microsoft’s chairman since scaling back his role at that company several years ago to focus on running his charitable work at the Bill and Melinda Gates Foundation.

Microsoft Corp has narrowed its list of external candidates to replace Chief Executive Steve Ballmer to about five people, including Ford Motor Co chief Alan Mulally and former Nokia CEO Stephen Elop, according to sources familiar with the matter.

The world's largest software maker also has at least three internal candidates on its shortlist, including former Skype CEO Tony Bates, who is now responsible for Microsoft's business development, and Satya Nadella, the company's cloud and enterprise chief, the sources said.

Despite the narrower list - the company started with about 40 names - the process could take a few more months, the sources said. In August, Ballmer said he would retire within 12 months.

Microsoft Corp. (MSFT)’s board is working toward having the successor to Chief Executive Officer Steve Ballmer in place by the end of this year and is winnowing a list of candidates, said people with knowledge of the discussions.

The board is narrowing its choices amid preliminary interviews, said the people, who asked not to be identified because the talks are private. Some candidates have declined to be considered, including EBay Inc. (EBAY) CEO John Donahoe, said two people. The board has also solicited advice from Silicon Valley veterans such as Charles Giancarlo, a former Cisco Systems Inc. executive and now a managing director at private-equity firm Silver Lake, said other people with knowledge of the matter.

“At least three” of Microsoft’s top 20 investors want Alan Mulally, CEO of Ford, to head Microsoft when Steve Ballmer retires.

Citing “several” sources, Reuters reports that the investors have recommended Mulally and the CEO of Computer Sciences, Mike Lawrie, to Microsoft’s board for the position when Ballmer leaves next year.
